IAG MAY 2019年5月 亞博匯 63 林 慶耀與他已去世的祖父、雲頂集團的大家長林梧 桐於2002年創立Donaco（ASX縮寫：DNA）。作為 常務董事/首席執行官，林慶耀帶領Donaco擴展 業務至越南的老街，並購得了在波貝的Star Ve- gas。在去年12月，Donaco向澳洲證券交易所表 示，林慶耀以「健康及個人原因」，提出休假。到了三月，Donaco在未有 給與解釋下「終止聘任」林慶耀，但他依然留任董事局成員。 林慶耀與《亞博匯》的特邀編輯Muhammad Cohen透露他一方的 說法，以下是該訪問的節錄。但當中沒有談及的是林慶耀的離職及與 他的叔伯林國泰就林慶耀父親的財產的官司。林國泰現在是雲頂集團 主席。 Muhammad Cohen: 你為甚麼向OCP Asia申請貸款？又為甚麼沒 有償還？ 林慶耀: OCP的交易最先於2015年進行。OCP給與我和我的家族資金 去對DNA的供股，為購買Star Vegas籌集3千6百萬美元。 在2015年時，質押的股票以每股0.6澳元計算，並只是全部的三分 之一。但隨時間遷移，由於與泰國賣家的官司以及那些賣家的競爭行 為，使DNA的股價受影響，因此需要質抽更大量的股票，最後在2018年 初就質押了我所有的股本。我從來都是按時償還本金及利息，可是到 了2018年年底，我的財政因為我決定離婚而受到重創。我在2018年11 月無法履行一次還款，金款約為44萬美元。 MC: Donaco是否知道Star Vegas的賣家Somboon Sukjaroenk- raisri正在一街之隔的地方與建娛樂場？禁止競爭條款是否包括這個？ 林: Somboon在他於2015年賣給公司的地皮以外的建設。 The non-compete clause in the management contract signed with Somboon covers non-compete by him, his family members and his lands for the whole of Poipet for perpetuity. It even restricts him from leasing land to third parties for casino operations. The contracts were all signed under Singapore law as a jurisdiction, and so proceedings and enforcement will be effected in Singapore. There are several legal proceedings in Cambodia as well and I believe updates have been given to the public. Given the size of the investment by DNA and the multinational nature of the company, we have full faith in the legal system of both countries. MC: Some sources say conflicts became personal between you and Somboon. Is a settlement more possible with you on the sidelines? JL: Rest assured that proceedings are carried out in the utmost professional manner, and there are no personal vendettas by the company, its board nor staff against Somboon. 焦點關注 A settlement is not out of the picture. It is just a matter of how far Somboon is willing to make remedies to the company on its complaints MC: Should Donaco sell Star Vegas? JL: As you can see from our latest filings, even during adverse business conditions, DNA Star Vegas continues to be profitable. I believe it is in all shareholders’ best interests to see out a resolution with Somboon either in or out of court, then we can focus on growing and managing the property with full purpose. There is a lot of potential in Poipet yet to be realized, with a new train terminal under construction and airport slated for 2020. Capacity to the city will increase. MC: Is there synergy between Aristo and Star Vegas? JL: There is no current synergy between Aristo and Star Vegas and that is the business model of DNA, seeking independent captive regional properties. 與Somboon所簽的不競爭條款包括了他本人、他家族成員及他 永遠在波貝所擁有地皮。條款甚麼限制他不能把地皮租給第三方作經 營娛樂場之用。這些合約都是以新加坡的法律簽署，受該地管轄，因此 一切處理及執行也會在新加坡有效。 在柬埔寨也有幾個法律程序在進行當中，我相信大眾都已知悉。 有鑑於DNA的投資規模及公司的跨國性，我們對兩個國家的司法系統 都有十足的信心。 MC: 有消息指你與Somboon之間的矛盾由公轉私。私下的和解會否 更有機會出現？ 林: 請放心，所有訴訟都以最專業的方式進行，而且公司本身、董事局 及職員亦沒有甚麼與Somboon的私人仇怨。 和解並不是完全沒有可能，只是要看Somboon如何就公司的投 訴作出補償。 MC: Donaco應否出售Star Vegas？ 林: 你從最新的公司報告中可以見到，即使在最差的經營情況下，DNA Star Vegas依家可以達至利潤。我認為解決與Somboon的紛爭為股東 的利益是最好的，不論是在法庭上還是法庭外解決。然後，公司就能專 注在發展及發揮物業的最大潛力。在波貝依然有很多潛力有待發掘， 當中包括新的在建火車站及預計於2020年興建的機場。該城市的潛 力將會有所增加。 MC: 在凱源及Star Vegas之間有沒有協作？ 林: 目前在凱源和Star Vegas之間並沒有協作，而這也是DNA的運作模 式，就是讓不同區域的物業都能既獨立又亮眼 。
